This Legal Page governs your use of the Social Intuition platform and sets out the terms under which you may access and use the website and associated services. Social Intuition is a trading name of Commercial Intuition Limited, a company registered in England and Wales under company number 13357594 with a registered office at Kestrel Court, Waterwells Drive, Quedgeley, Gloucester, GL2 2AT. The company’s VAT number is 378538838. All legal enquiries may be directed to info@socialintuition.org.

By accessing or using the platform, you confirm that you accept these terms and agree to comply with them. If you do not agree with any part of these terms, you must not use the platform. Commercial Intuition Limited reserves the right to amend or update these terms at any time. Continued use of the platform following any updates shall constitute acceptance of the revised terms.

For the purposes of this Legal Page, the term “platform” refers to the Social Intuition website, associated systems, directories, software, tools, and services. The term “user” refers to any individual or organisation accessing or using the platform. The term “organisation” refers to entities seeking social value opportunities, partnerships, suppliers or collaborations. The term “supplier” refers to any third party listed, featured, introduced or otherwise connected via the platform. The term “services” refers to any functionality or professional services provided through the platform, including but not limited to consultancy services, supplier matching, directory listings, marketplace tools, consultation booking systems, document sharing functionality, communication features, analytics tools and associated digital services.

Social Intuition provides a platform designed to facilitate connections between organisations, suppliers, charities, consultants, community groups and other relevant stakeholders in order to support the identification and delivery of social value opportunities. The platform may include directories of organisations or suppliers, social value opportunity listings, marketplace functionality, document sharing tools, consultation booking features, professional collaboration tools, user accounts, messaging features, data submission forms, analytics functionality and other related digital services. Social Intuition operates solely as an intermediary platform and does not guarantee the availability of opportunities, the suitability of suppliers, the quality of services provided by third parties, commercial outcomes, regulatory compliance of third parties, successful project delivery, financial results, or achievement of social value outcomes. Users are responsible for carrying out their own due diligence prior to entering into any agreement or collaboration with third parties.

Information provided via the platform is for general informational purposes only and does not constitute legal advice, financial advice, procurement advice, compliance advice, regulatory advice, investment advice or any other form of professional advice. Users should obtain independent professional advice where appropriate. Commercial Intuition Limited accepts no liability for any reliance placed on information made available through the platform.

Users may be required to create an account in order to access certain features of the platform. Users agree to maintain the confidentiality of their login credentials and accept responsibility for all activities conducted through their account. Users must provide accurate, current and complete information when creating an account and must promptly notify Social Intuition of any unauthorised use or security breach relating to their account. Commercial Intuition Limited reserves the right to suspend or terminate accounts where misuse is suspected or where these terms are breached.

Certain services available via the platform may be offered on a paid basis, including subscription services, consultancy support, marketplace access, enhanced listings, digital tools or other professional services. Pricing structures may change over time and pricing details will be provided separately where applicable. Payment terms will be agreed prior to the commencement of paid services. Where subscription services are offered, such subscriptions may renew automatically where specified. Refunds are not guaranteed unless explicitly stated. Payments may be processed using secure third party providers including Stripe or equivalent payment processing services. Commercial Intuition Limited does not store full payment card details.

Social Intuition may facilitate introductions or connections between users and third parties. Commercial Intuition Limited does not endorse, warrant or guarantee the services of any third party and accepts no responsibility for the conduct, accuracy of information, contractual performance, service delivery, legal compliance or outcomes of any third party relationship. Any agreement entered into between users and third parties is solely between those parties. Social Intuition shall not be liable for disputes arising between users and third parties.

Users agree not to misuse the platform. Prohibited activities include submitting false or misleading information, uploading unlawful or infringing material, attempting to gain unauthorised access to the platform, distributing malicious software, using the platform for fraudulent purposes, harvesting or scraping data without permission, interfering with the security or integrity of the platform, uploading harmful or offensive material or breaching intellectual property rights. Commercial Intuition Limited reserves the right to remove content, restrict access or take appropriate action where misuse is identified.

All intellectual property relating to the platform, including content, branding, logos, software, design, databases and written materials, remains the property of Commercial Intuition Limited unless otherwise stated. Users may not reproduce, distribute, modify or commercially exploit any platform content without prior written permission.

Commercial Intuition Limited processes personal data in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018. Personal data collected may include names, email addresses, telephone numbers, organisational details, job titles, account credentials, uploaded documents, billing information, transaction records, communication records, usage data, IP addresses, analytics information, marketing preferences and correspondence history. Personal data may be processed for purposes including providing platform functionality, facilitating connections between users, improving services, responding to enquiries, providing customer support, complying with legal obligations, preventing fraud, administering services, fulfilling contractual obligations and monitoring performance and analytics.

Personal data may be stored securely using third party providers including Odoo, Stripe, Google Analytics, secure hosting providers, CRM systems and communication platforms. Appropriate technical and organisational safeguards are implemented to protect personal data. Data will be retained only for as long as necessary for legitimate business purposes or legal compliance. Users have rights under data protection law including the right to access personal data, request rectification of inaccurate data, request erasure of personal data, restrict processing, request data portability and object to processing. Requests relating to personal data may be submitted to info@socialintuition.org. Users also have the right to lodge a complaint with the Information Commissioner’s Office.

The platform may use cookies and similar technologies to support website functionality, analytics, user preferences, security, session management and performance monitoring. Google Analytics may collect anonymised usage data in order to improve the performance and usability of the platform. Users may control cookie preferences through browser settings. Disabling cookies may affect the functionality of the platform.

Commercial Intuition Limited implements reasonable technical and organisational safeguards designed to protect data from unauthorised access, accidental loss, misuse, alteration or disclosure. However, no online system can be guaranteed completely secure and users submit information at their own risk.

To the fullest extent permitted by law, Commercial Intuition Limited shall not be liable for indirect losses, consequential losses, loss of profit, loss of business opportunity, reputational damage, loss of data, reliance on platform content, actions of third parties, service interruptions, technical errors, inaccuracies in listings or outcomes arising from supplier relationships. Where liability cannot be excluded, total liability shall not exceed fees paid for the relevant service where applicable. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence or any liability which cannot legally be excluded.

Commercial Intuition Limited does not guarantee uninterrupted access to the platform and reserves the right to suspend access, modify functionality, update services, remove features or discontinue services at any time without notice.

The platform may contain links to third party websites. Commercial Intuition Limited is not responsible for the content, accuracy or practices of third party websites and users access such links at their own risk.

Where users upload documents or share information via the platform, reasonable efforts will be made to maintain confidentiality. Users remain responsible for ensuring they have the legal right to share any information submitted. Commercial Intuition Limited shall not be responsible for disclosures resulting from user actions.

Commercial Intuition Limited reserves the right to suspend or terminate access to the platform where these terms are breached, misuse is suspected, unlawful activity is identified or accounts remain inactive for extended periods. Users may discontinue use of the platform at any time.

These terms are governed by the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
